Esteemed shareholders and employees:
One of our characteristics, which has become the hallmark of Grupo Financiero B×+, is knowing how to capitalize on opportunities, mainly due to the rapid capacity for adaptation, innovation and resilience, thus transforming 2022 from a year that could have become complicated, to one of good results, maintaining the history of sustained growth since the founding of B×+.
In different scenarios there were great challenges, at an economic level inflation is a factor that we must keep an eye on and follow up on in 2023. Our country’s growth is beginning to show signs of recovery after the pandemic and we see an appreciating exchange rate. These factors allow us to maintain competitiveness in Mexico and that is where we want to take advantage of the spaces that have opened up as a result of infrastructure relocation and the USMCA/CUSMA.

In other aspects, the noise clouded some environments such as the political or social ones; however, a certain stability has been maintained, which gives certainty to investments and this is reflected in the flow of both internal and external resources, activating the economic cycle.
This year, we invested in the acquisition of B×+ Flotillas and in the Banco ABC portfolio as growth drivers. Our goal is to become increasingly strategic players in the financial sector, gaining market share and taking our commercial offerings to more clients, prospects and regions.
Another key factor in our success is the passion for seeking and developing solutions that allow us to optimize our business, offer clear differentiators and the best service to which our customers, who place their trust in us, are accustomed.
We have named this Annual Report: “One Team, One Goal,” because that is what we want to continue to promote. All the capabilities of our employees to strengthen cohesion, as well as the sense of belonging in accordance with our purpose and values so that, together, we can focus our efforts on achieving the objectives we have set. Ambitious goals that are possible with this great team that I am proud to preside.

from the Chief Executive Officer

Dear shareholders and employees:
The year 2022 was characterized by being a year of surprises, which created great challenges.
On the international scene, the war in Ukraine caused instability and tension, resulting in significant increases in oil prices and disruptions in supply chains, contributing to inflation, which has reached highs not seen in decades at a global level. As a result, there was a tightening of monetary policies, i.e. aggressive increases in interest rates.
Mexico was not exempt from this upward trend in interest rates, in addition, it faced different problems of insecurity, controversies related to the USMCA/CUSMA —which are still in process— and polemics in the political environment as the last stage of the current government approaches, to mention a few.
On the other hand, in Mexico, we enjoy relative macroeconomic stability with a manageable debt level, estimated at 49.8% of GDP at the end of 2022, with the three major rating agencies reaffirming their investment grade. The exchange rate has shown signs of appreciation, even trading below $19.00, something not seen since February 2020.

The Mexican economy is experiencing a post-pandemic recovery. Timely data indicate that GDP would have grown 3.0% last year, in line with our forecast, and that in 4Q22 it would have surpassed the levels seen in 4Q19. In fact, output at the end of the year tied its historical maximum, reached in 3Q18. The recovery in private consumption, supported by the increase in employment, remittances, and the solid expansion of exports, have contributed to this performance.
Moreover, despite the complications of the global economy, Mexico is facing a historic opportunity associated with nearshoring and the strengthening of the advantages of the USMCA/CUSMA, which is reflected in the 32 billion dollars of foreign direct investment captured in the first nine months of last year, one of its best records in history.
There were political surprises in the world. In the United Kingdom, we saw two Kings and three Prime Ministers in the year; Latin America continues to show instability and leftward leanings, in Brazil Luiz Inácio Lula da Silva returned and an extremist group attacked the headquarters of the three branches of government in Brasilia; Colombia elected a former guerrilla President and in Peru the President who tried to dissolve the Congress was arrested. In Italy, on the other hand, the extreme right came to power.
In the midst of this panorama, we found opportunities during the year and achieved good results in Grupo Financiero B×+, demonstrating our resilience and agility.
During 2022 we prioritized four fundamental components: first, to focus on serving our clients, seeking to satisfy their comprehensive needs in order to offer them timely financial solutions at the right time, strengthening the business relationship; second, to increase the active client base that will allow us to drive the growth of Grupo Financiero B×+; third, to monitor the past-due portfolio, generating adequate levels of capitalization, solvency and liquidity; and finally, fourth, to be more efficient in our operations, continuously improving the ratio of income to expenses.
In evaluating 2022, I can proudly mention the good results we have delivered. In the commercial portfolio we grew 10.9%, which represents $3.554 billion pesos; at the same time, we reduced our exposure in the co-financing we do with Infonavit by $2.639 billion pesos by deciding not to participate in Infonavit auctions in the last 18 months.
Throughout the year, I must highlight the adequate management of the past-due portfolio, reducing the inflows in a relevant way, meeting one of our main challenges. Still, we have work to do, since our past-due portfolio index must improve.
Our customers’ deposits increased significantly, closing with a 12.5% growth, reaching $48.648 billion pesos, gaining market share, which reflects a reduction in our interbank funding from 23% to 18%, improving our cost of funds for the year.
In brokerage, we took advantage of the opportunities presented by the foreign exchange, capital, debt, and corporate finance markets, generating revenues of more than $576 million pesos.
Arrendadora B×+ maintained annual placements in excess of $2.148 billion pesos. It is worth noting the incorporation of B×+ Flotillas, adding $133 million pesos to the portfolio, and the offer of a competitive product to meet the vehicle needs of companies.
Seguros B×+ successfully managed the effects of the pandemic, achieving profit growth above budget expectations. Six years after acquiring the company, we have doubled the value of our capital.
In 2022, we strengthened our performance culture through formal constructive dialogues with our employees to align, redirect, and adjust the organization’s activities to achieve our goals, which facilitated the recognition of talent.
We worked to promote our values - integrity, loyalty, and audacity - in order to foster organizational behaviors in our day-to-day processes and decisions. As a result of these activities, we ratified and improved our “Great Place to Work” certification for the second consecutive year.
Undoubtedly, the team’s commitment was a determining factor in the success of our activities. I would like to thank everyone for their dedication, passion, and commitment.
The year 2023 will also be a year of challenges, but as long as we remain as one team and one goal, we will consolidate our competitive advantage.

Plan
During 2022, in order to steadily advance towards the fulfillment of the 2020 - 2025 Strategic Plan, we decided to follow up on key indicators that demonstrate our solidity, capitalization, liquidity and delinquency rates. We also maintained a particular focus on the claims ratio of medical expenses and insurance policies. These indicators demonstrate the adequate financial situation of Grupo Financiero B×+.
In the Strategic Plan, B×+ has embodied the business model with which we have successfully competed and will be a driving force for the years to come. It has been designed considering the differentiation and specialization of products and services, as well as the four pillars that support the model, giving cohesion to all strategic areas.
The first pillar, Customer Business, focuses on serving companies and individuals, for which we have developed specific objectives: for companies, we offer tools in accordance with their financing and liquidity needs. For individuals, we focus on managing their investments to maximize returns.
In both segments, one of our differentiators is the personalized attention that allows us to become their strategic partners. This is accompanied by a wide range of financial products and services. A key element are the digital solutions that simplify our clients’ operations and which we are increasingly strengthening by incorporating more functionalities.
Our second pillar, the Product Business, is made up of specialized channels, operated by four business units: Leasing, Foreign Exchange, Mortgage and Insurance, served by a specialized sales force, generating synergies with the other pillars and seeking the closeness that our customers expect. During this year, we decided to include Fiduciary, due to the great contribution it generates to the business.
The third pillar, called Inorganic Growth, seeks to detect opportunities that arise in the market to make strategic acquisitions that consolidate our business model.
Finally, the fourth pillar focuses on Infrastructure and Support Services, organized into five elements. The first, human capital, fosters organizational clarity and provides commercial orientation to our employees. The second component, strengthening the infrastructure, enables a greater degree of automation and open architecture. The third aspect promotes the establishment of more business centers, thereby expanding our geographic presence. The fourth element is the attraction and development of talent, and the fifth is the strengthening of our innovation platform.

During 2022, in Grupo Financiero B×+ a spirit of hard teamwork was privileged with a clear objective, find spaces to fulfill our 2020 – 2025 Strategic Plan, in addition to maintain our sustained growth since our foundation.
With this in mind, we seek to be very close to our clients to offer them the financial solution to their needs at the right time. Thanks to this proximity and with the support of a great value offer of products and services, we become strategic partners.
We promote the financing of diverse clients’ projects with different instruments, types and sophistication, highlighting simple credit, bridge loans, leasing, factoring and corporate financing.
An essential part of success, from the point of view of companies, consists of understanding the business model of clients in order to go further and offer cost-effective and innovative options. In this regard, B×+ Financiamiento Corporativo promoted the placement of debt, generating great success stories in years in which there have been no new issues.
For individuals, B×+ Casa mortgage offer is positioning itself in the market as a very attractive option with competitive rates and schemes that make it easier for families to fulfill their dream of acquiring a home.
An important factor is the permanent monitoring of our clients and the establishment of early warnings, which has allowed us to anticipate possible defaults and together find alternatives. These activities translate into an adequate management of the past-due portfolio.
Accounts B×+ Beneficios and B×+ Empresa have positioned themselves in the market as an excellent alternative, allowing for greater transactionality due to the benefits they include. Both have a great complement, Cuenta Verde and Inversión Empresarial B×+.
A very relevant fact is the transactionality achieved with the B×+ Gold, B×+ World Elite and B×+ Business Debit cards, which have transacted an average of more than $70 billion pesos during 2022. Likewise, with the largest ATM network, transactions of more than $6 billion pesos were recorded in the same period.
The trust built over the years with our clients has been noteworthy, which allowed us to significantly grow our fund-raising for the fourth consecutive year, taking advantage of the economic conditions to launch attractive offers in products such as B×+ Pagaré.
The stock market offer gained special relevance for hedging and debt instruments, achieving relevant results in B×+ Mercado de Derivados and B×+ Mercado de Deuda. B×+ family investment funds have positioned themselves in the preference of our clients, as well as the hedge funds mainly composed of fixed income.
With the adoption of the best execution in the OMS (Order Management System) of B×+ Mercado de Capitales, we guarantee to offer the best conditions to our clients in order to execute the instructions given to the trading desk.
One of the pillars of the Strategic Plan is Inorganic Growth, where we are always open to consider strategic acquisitions that fit with our plans and generate growth.
An example of this was the incorporation of B×+ Flotillas, a long-term vehicle leasing scheme focused on the business sector, which offers a complete experience that allows the clients to enjoy the unit without worrying about services or paperwork. The vehicles are included in a fixed monthly rent throughout the financing period, via the efficient use of a vehicle at a reasonable cost, reinforcing the product portfolio of Arrendadora B×+.
Another strategic acquisition was a portfolio comprised mainly of bridging loans, serving as a driver of the existing of Banca Especializada portfolio.
Seguros B×+ launched new products, Kompenza B×+, indemnity insurance for cancer or daily hospitalization assistance; Practikasa B×+, focused on home protection; and Selektum B×+, which offers support in the group life line.
Although we continued to be affected by the pandemic, the insurance company maintained a solvency capital ratio of 6.20, far above the regulatory requirement, and as a result we responded to our insurees at the right time, covering close to $1.784 billion pesos in claims. This reflects the strength of Seguros B×+.
2022 was a year in which our leadership consolidated our corporate reputation in the media specialized in economics, finance and business, thanks to our outreach activities of the Analysis and Strategy area, adding to the growing positioning of financial culture and education.
We obtained recognition by appearing in the 500 Companies Rankings, the Responsible Companies by Expansión, and the 1,000 Companies by Mundo Ejecutivo, among others.
This year we resumed our events with clients, taking our Tendencias B×+ to cities such as Mérida, Puebla, Guadalajara and San Luis Potosí, CDMX, Monterrey and Mexicali, bringing timely information for better decision making.
Unity is the key factor to continue growing, living our purpose together is what gives us strength, so we will continue to promote our activities as one team, one goal.
B×+ Sustainability
One of the major landmarks in the history of Grupo Financiero B×+ is to be one of the signatory institutions of the Banking Sustainability Protocol promoted by the Asociación de Bancos de México, which embodies the commitment to Mexico’s Sustainable Development and promotes the country’s transition towards the conscious and responsible use of its resources.
This marks the start of a methodology to implement, within B×+, the Sustainable Development Goals adopted by the United Nations, in order to incorporate best practices in the institutions, a commitment that we assume as a fundamental part of our sustainable agenda.
To this end, a working group made up of different areas has been established to transform everything necessary to successfully adopt the Sustainable Development Goals.
In that sense, for the second consecutive year we obtained the Great Place to Work certification in recognition of all the activities we have developed to embody, even more, our organizational culture, with the purpose and values of B×+ at its core. During 2022, we incorporated a new tradition of rewarding and celebrating those employees who, according to the opinion of their peers, lived the three values in an outstanding way.
In order to enrich the lives of people, in particular our employees by acquiring, or strengthening capacities and skills, we provided more than 45,000 hours of training during this period, with the objective of strengthening the commercial area in subjects such as service, online business, objection handling, and analysis. As well as obtaining different certifications, in addition to regulatory and normative topics such as: Risks, Business Continuity, Prevention of Money Laundering and Terrorism Financing, Privacy Treatment of Personal Data and those granted by Asociación Mexicana de Instituciones Bursátiles (AMIB), among others.
During 2022, we continued to dedicate ourselves with great success to the dissemination of financial culture in our country, participating in different academic fairs of various institutions of higher education in Mexico, and even giving lectures to the National Guard. Continuing with tradition, we participated very actively in the National Financial Education Week, which is organized every year by the Asociación de Bancos de México and Condusef, with conferences for different audiences.
It deserves special mention that we were one of the founding members of the Congreso Bancario de Educación Financiera, organized by the Asociación de Bancos de México for our commitment to promote financial education as a trigger for the wellbeing and development of our country. In addition, we were proud sponsors of the AMAI Congress (Asociación Mexicana de Asesores de Inversión), where investment specialists were presented with the most relevant information and trends in the stock market sector, allowing them to be at the forefront.
Something characteristic of Grupo Financiero B×+ is transparency and the active corruption combating, we were again recognized by Expansión by being included in the ranking of the 500 companies against corruption, which demonstrates the strength of our corporate governance and our adherence to the best national and international practices.
It is worth emphasize our incorporation into the Movin Reforma mobility program, with the objective of improving the quality of life of the people who work in the Reforma corridor of the CDMX and reducing negative externalities such as vehicular congestion, air pollution, noise, among others.
For Grupo Financiero B×+ it was an honor to promote sports; we sponsored the Club Deportivo Israelita delegation that participated in the Macabeadas Mundiales 2022, as well as the La Isla Open Water event.
This year we had the privilege of continuing to support Mexico’s children by joining the activities of the John Langdon Down Foundation, Kardias, Quiera and Bécalos Foundations.
With “One team, One goal” we will resolutely promote our organizational culture to strengthen respect for people’s dignity, inclusion, equity and diversity, to add talent and continue to grow as an organization.

This report includes, at least: (I) Any shortcomings, discrepancies or aspects of the Internal Control System, which if necessary, require improvement, (II) a mention and follow-up on implementation of preventive and corrective measures taken in response to observations made by the National Banking and Securities Commission and the results of internal audits, as well as those from the Internal Control System assessment performed by the Audit Committee itself, (III) the performance evaluation of the Internal Comptroller’s and Internal Audit area, (IV) the significant aspects of the Internal Control System that might affect the results of the Institution’s activities, (V) an assessment of the Business Continuity Plan’s reach and efficacy, (VI) the performance evaluation of the external auditor, as well as the description and evaluation of additional services or complementary services, if any, provided by the external auditor, (VII) the performance evaluation of the independent actuary that rules on the situation and sufficiency of the technical reserves, as well as the quality of his opinion and reports, (VIII) the main results

Committee
The Executive Committee is appointed by the Board; its function is to address all urgent matters that cannot be delayed until the regularly scheduled meetings of the Board of Directors.
Furthermore, it oversees compliance of the resolutions of the Board of Directors, but in no case, it will have faculties or functions reserved for any other body of the Institution, according to the corporate bylaws or any other law.
Comprehensive Risk Management
Committee (CRMC)
The CRMC aims to manage all risks our Institution is exposed to and ensure that all operations comply with the appetite for risk, the comprehensive risk management goals, policies and procedures, as well as with risk exposure global limits, previously approved by the Board.
Regarding Discretionary Risks, the CRMC approves specific limits to manage risk in the different portfolios, activities and business lines, which are approved by the same body.
For the Non-Discretionary, it establishes the tolerance levels. The CRMC also approves methodologies and procedures to identify, measure, oversee, limit, control, inform and disclose the diverse types of risks the Institution is exposed to, all the above according to current regulations.
Culture and
Ethics Committee
This Committee aims to ensure that all members of Grupo Financiero B×+ reflect and represent the ethical and integrity values adopted by the Company to prevent improper practices; as well as the adherence to all guidelines and policies established in the Manual of Ethical Values, Integrity and Code of Conduct and the encouragement of an ethical culture within the organization to create a better environment and organizational climate.

At Grupo Financiero B×+ we maintain active other governance bodies, comprised by Board members and/or directors with several responsibilities, such as: Assets and Liabilities, Acquisitions, Credits, Investments, Transformation, Communication and Control, Business Continuity, among others.
Dividend payment policy
The Institution does not have a fixed policy regarding the payment of dividends. The decision to declare dividends or not is determined and proposed by the Board of Directors and approved at the General Stockholders’ Meeting by a favorable vote of the majority based on the need to reinvest resources and maintain capitalization levels in accordance with applicable regulations.

Hemos auditado los estados financieros consolidados de Grupo Financiero Ve por Más, S.A. de C.V. y Subsidiarias (el “Grupo Financiero”), que comprenden el estado consolidado de situación financiera al 31 de diciembre de 2022, los estados consolidados de resultado integral, de cambios en el capital contable y de flujos de efectivo correspondientes al año que terminó en esa fecha, así como las notas explicativas a los estados financieros consolidados que incluyen un resumen de las políticas contables significativas.
En nuestra opinión, los estados financieros consolidados adjuntos del Grupo Financiero han sido preparados, en todos los aspectos importantes, de conformidad con los Criterios Contables (“Criterios Contables”) establecidos por la Comisión Nacional Bancaria y de Valores (la “Comisión”) a través de las Disposiciones de Carácter General Aplicables a las Sociedades Controladoras de Grupos Financieros, Instituciones de Crédito, Casas de Bolsa, Sociedades Financieras de Objeto Múltiple Reguladas y en la Circular Única de Seguros y Fianzas (las “Disposiciones”).
Fundamentos de la opinión
Llevamos a cabo nuestra auditoría de conformidad con las Normas Internacionales de Auditoría (“NIA”). Nuestras responsabilidades bajo esas normas se explican más ampliamente en la sección de Responsabilidades de los auditores independientes en relación con la auditoría de los estados financieros consolidados de nuestro informe. Somos independientes del Grupo Financiero de conformidad con el Código de Ética para Profesionales de la Contabilidad del Consejo de Normas Internacionales de Ética para Contadores (“Código de Ética del IESBA”) y con el emitido por el Instituto Mexicano de Contadores Públicos (“Código de Ética del IMCP”), y hemos cumplido las demás responsabilidades de ética de conformidad con el Código de Ética del IESBA y con el Código de Ética del IMCP. Consideramos que la evidencia de auditoría que hemos obtenido proporciona una base suficiente y adecuada para nuestra opinión.
Párrafo de énfasis
Como se menciona en la Nota 2 y 4, la Comisión, completó el proyecto de actualización del marco contable aplicable a Instituciones de Crédito que tiene el objetivo de converger de manera parcial con ciertas Normas de Información Financiera y atender los últimos cambios en la normativa contable internacional. El Grupo Financiero adoptó estas nuevas disposiciones a partir del 1 de enero de 2022 generando que los criterios, políticas contables y de información utilizados para preparar la información financiera de 2022 difieran con las aplicadas en el año anterior. Derivado de esta situación la Comisión estableció que los estados financieros básicos consolidados correspondientes al período concluido el 31 de diciembre de 2022, no deberán presentarse comparativos con el período terminado el 31 de diciembre de 2021.
Nuestra opinión no ha sido modificada en relación con esta cuestión.

Los estados financieros consolidados adjuntos, en donde se precisa, presentan información financiera no auditada dentro de sus Notas, la cual es requerida en las Disposiciones establecidas por la Comisión.
Asuntos clave de auditoría
Las cuestiones clave de auditoría son aquellas cuestiones que, según nuestro juicio profesional, han sido de la mayor significatividad en nuestra auditoría de los estados financieros del período actual. Estas cuestiones han sido tratadas en el contexto de nuestra auditoría de los estados financieros en su conjunto y en la formación de nuestra opinión sobre estos, y no expresamos una opinión por separado sobre esas cuestiones.
Hemos determinado que las cuestiones que se describen a continuación son las cuestiones clave de auditoría que se deben comunicar en nuestro informe.
Valuación de instrumentos financieros
(Véanse las Notas 4, 7, 9 y 31a a los estados financieros)
La valuación de los instrumentos financieros del Grupo Financiero se consideró como un área clave de enfoque de nuestra auditoría debido a que su proceso de valuación requiere que, aplicando el juicio profesional, la Administración determine su modelo de negocio, así como los factores cuantitativos y cualitativos que para determinar el nivel de jerarquía y el valor razonable de los mismos.
En la Nota _ a los estados financieros adjuntos, la Administración ha descrito las principales políticas aplicadas para la determinación de la valuación de los instrumentos financieros.
Nuestros procedimientos de auditoría incluyeron lo siguiente:
1. Obtuvimos por parte de la Administración el modelo de negocio aplicable a los diferentes tipos de instrumentos financieros. Con base en una muestra, revisamos que los instrumentos financieros se encontraran razonablemente clasificados en los estados mismos.
2. Llevamos a cabo la evaluación del diseño e implementación de los controles relevantes, así como la revisión de la eficacia operativa de los mismos.
3. Revisamos al 31 de diciembre de 2022, la reconciliación que llevó a cabo la administración de las bases de instrumentos financieros extraídas de los sistemas operativos contra los saldos contables, observado también su razonable agrupación y clasificación.
4. Para los instrumentos financieros bursátiles, obtuvimos una confirmación al 31 de diciembre de S.D. Indeval Institución para el Depósito de Valores, S.A. de C.V. y de Valuación Operativa y Referencias de Mercado S.A. de C.V. respecto de la posición de valores que mantenía el Grupo Financiero a esa fecha y a su valor de mercado de conformidad con las Disposiciones.
5. Con base en una muestra de los instrumentos financieros derivados de negociación y de cobertura, obtuvimos las cartas confirmación que la contraparte envía al Grupo Financiero al momento de celebrar la operación, y cotejamos que la información fuera consistente con la contenida en el sistema operativo.
6. Con base en una muestra recalculamos el valor de los instrumentos financieros con nivel de jerarquía 1 y 2. Al 31 de diciembre de 2022 el Grupo Financiero no cuenta con instrumentos financieros con nivel de jerarquía 3. Para los instrumentos financieros derivados involucramos a nuestro equipo de especialistas. Este trabajo incluyó el cálculo de la valuación al 30 de septiembre de 2022 sobre una muestra de instrumentos financieros derivados con el uso de variables independientes y en algunos casos resultaron en valuaciones diferentes a las calculadas por la Administración del Grupo Financiero, observando que las diferencias se encontraban dentro de rangos razonables. Llevamos a cabo procedimientos analíticos sobre la muestra de septiembre para observar si su saldo al 31 de diciembre era razonable.
7. Nuestro equipo de especialistas también revisó el cumplimiento de los requisitos que establecen los Criterios Contables para designar a los instrumentos financieros derivados como de cobertura.
8. Al 31 de diciembre de 2022 realizamos un análisis para identificar aquellas nuevas operaciones de derivados contratadas por el Grupo Financiero del periodo del 30 de septiembre al 31 de diciembre de 2022, que pudieran tener una magnitud significativa; sobre éstas se solicitó la carta confirmación de la contraparte y se revisó el detalle de la operación.
Los resultados de nuestros procedimientos de auditoría fueron razonables.
Estimación preventiva para riesgos crediticios
(véase la Nota 4 y 11 a los estados financieros)
El Grupo Financiero constituye la estimación preventiva para riesgos crediticios de su cartera de crédito, con base en las reglas de calificación de cartera establecidas en los Criterios Contables, los cuales establecen metodologías de evaluación y constitución de reservas por tipo de crédito. La elaboración de dicha metodología requiere que, aplicando el juicio profesional, la Administración determine los factores cuantitativos y cualitativos que se aplicarán para la determinación de la probabilidad de incumplimiento, severidad de la pérdida y exposición al incumplimiento de los créditos. La determinación de la estimación preventiva se ha considerado un asunto clave de la auditoría debido a la importancia de la integridad y exactitud de la información utilizada en su determinación; así como la correcta aplicación de la metodología establecida por la Comisión para determinar el cálculo de la estimación.
En la Nota 4 a los estados financieros adjuntos, la Administración ha descrito las principales políticas aplicadas para la determinación de la estimación preventiva para riesgos crediticios.
Nuestras pruebas de auditoría comprendieron una combinación de pruebas de controles y pruebas sustantivas sobre saldos y transacciones:
1. Realizamos un recorrido de control interno para identificar los controles establecidos por la Administración para la adecuada integración de la información de los expedientes de crédito durante los procesos de alta de los créditos y su administración. Una vez identificados los controles clave probamos el diseño e implementación de dichos controles.
2. Involucramos a nuestro equipo de especialistas para la revisión de la clasificación en etapas de la cartera de crédito.
3. Sobre una muestra de expedientes revisamos que la carga de los insumos utilizados en el motor de cálculo de la estimación preventiva para riesgos crediticios fuera íntegra y exacta.
4. Probamos el diseño e implementación de los controles relevantes de tipo revisión implementados por la Administración sobre la razonabilidad de los resultados del cálculo de la estimación preventiva para riesgos crediticios.
5. Involucramos a nuestros especialistas en modelos de reservas con el objetivo de verificar la aplicación del modelo y los parámetros de cálculo establecidos por la Comisión a través del recálculo de la estimación preventiva para riesgos crediticios de una muestra de cartera seleccionada al 1 de enero, 30 de septiembre y 31 de diciembre de 2022.
6. Revisamos el asiento por el reconocimiento inicial de adopción de la nueva metodología de calificación de cartera establecido por la Comisión, observando que al 31 de diciembre de 2022, dicho movimiento se encontrará registrado en su totalidad en los resultados de ejercicios anteriores.
7. Revisamos la integridad de la información comprobando que el total de la cartera crediticia estuvo sujeto al cálculo de la estimación preventiva para riesgos crediticios.
8. Adicionalmente, al 31 de diciembre de 2022 como prueba analítica sustantiva realizamos una expectativa del saldo de la estimación preventiva para riesgos crediticios a esa fecha con base en el comportamiento de la cartera de crédito.
Los resultados de nuestros procedimientos de auditoría fueron razonables.
Responsabilidades de la Administración y de los responsables de gobierno corporativo de la Entidad en relación con los estados financieros consolidados
La Administración del Grupo Financiero es responsable de la preparación de los estados financieros consolidados de conformidad con los Criterios Contables, y del control interno que la Administración considere necesario para permitir la preparación de los estados financieros consolidados libres de error material, debido a fraude o error.
En la preparación de los estados financieros consolidados, la Administración es responsable de la evaluación de la capacidad del Grupo Financiero de continuar como empresa en funcionamiento, revelando, según corresponda, las cuestiones relacionadas con el Grupo Financiero en funcionamiento y utilizando el principio contable de empresa en funcionamiento, excepto, si la Administración tiene la intención de liquidar al Grupo Financiero o detener sus operaciones, o bien no exista otra alternativa realista.
Los encargados de gobierno del Grupo Financiero son responsables de la supervisión del proceso de información financiera del Grupo Financiero.
Responsabilidades de los auditores en relación con la auditoría de los estados financieros consolidados
Nuestros objetivos son obtener una seguridad razonable de que los estados financieros consolidados en su conjunto están libres de errores materiales, debido a fraude o error, y emitir un informe de auditoría que contiene nuestra opinión. Seguridad razonable es un alto nivel de seguridad, pero no garantiza que una auditoría realizada de conformidad con las NIA siempre detecte un error material cuando existe. Los errores pueden deberse a fraude o error y se consideran materiales si, individualmente o de forma agregada, puede preverse razonablemente que influyen en las decisiones económicas que los usuarios toman basándose en los estados financieros consolidados.
Como parte de una auditoría ejecutada de conformidad con las NIA, ejercemos nuestro juicio profesional y mantenemos una actitud de escepticismo profesional durante toda la auditoría.
Nosotros también:
• Identificamos y evaluamos los riesgos de incorrección material de los estados financieros consolidados, debida a fraude o error, diseñamos y aplicamos procedimientos de auditoría para responder a dichos riesgos y obtenemos evidencia de auditoría que es suficiente y apropiada para proporcionar las bases para nuestra opinión. El riesgo de no detectar una incorrección material debida a fraude es más elevado que en el caso de una incorrección material debido a un error, ya que el fraude puede implicar colusión, falsificación, omisiones deliberadas, manifestaciones intencionalmente erróneas o la elusión del control interno.
• Obtenemos conocimiento del control interno relevante para la auditoría, con el fin de diseñar procedimientos de auditoría que sean adecuados en función de las circunstancias y no con el fin de expresar una opinión sobre la efectividad del control interno del Grupo Financiero.
• Evaluamos lo adecuado de las políticas contables aplicadas y la razonabilidad de las estimaciones contables y la correspondiente información revelada por la Administración.
• Concluimos sobre lo adecuado de la utilización por la Administración, de la norma contable de empresa en funcionamiento y, basándonos en la evidencia de auditoría obtenida, concluimos sobre si existe o no una incertidumbre material relacionada con hechos o condiciones que pueden generar dudas significativas sobre la capacidad del Grupo Financiero para continuar como empresa en funcionamiento. Si concluimos que existe una incertidumbre material, se requiere que llamemos la atención en nuestro informe de auditoría sobre la correspondiente información revelada en los estados financieros consolidados o, si dichas revelaciones no son adecuadas, que expresemos una opinión modificada. Nuestras conclusiones se basan en la evidencia de auditoría obtenida hasta la fecha de nuestro informe de auditoría. Sin embargo, hechos o condiciones futuros pueden ser causa de que el Grupo Financiero deje de ser una empresa en funcionamiento.
• Obtenemos evidencia suficiente y adecuada en relación con la información financiera de las entidades o actividades empresariales dentro del Grupo Financiero para expresar una opinión sobre los estados financieros consolidados. Somos responsables de la dirección, supervisión y realización de la auditoría del Grupo Financiero. Somos los únicos responsables de nuestra opinión de auditoría.
Comunicamos a los responsables del gobierno del Grupo Financiero en relación con, entre otras cuestiones, el alcance y el momento de la realización de la auditoría y los hallazgos significativos de la auditoría, así como cualquier deficiencia significativa en el control interno que identificamos en el transcurso de la auditoría.
También proporcionamos a los responsables del gobierno del Grupo Financiero, una declaración de que hemos cumplido con los requerimientos de ética aplicables en relación con la independencia y les hemos comunicado acerca de todas las relaciones y demás cuestiones de las que se puede esperar razonablemente que pueden afectar nuestra independencia, y en su caso, las correspondientes salvaguardas.
Entre las cuestiones que han sido objeto de comunicaciones con los responsables de gobierno del Grupo Financiero, determinamos que han sido de la mayor significatividad en la auditoría de los estados financieros consolidados del ejercicio 2022 y que son en consecuencia, las cuestiones clave de la auditoría. Describimos esas cuestiones en este informe de auditoría, salvo que las disposiciones legales o reglamentarias prohíban revelar públicamente la cuestión o, en circunstancias extremadamente poco frecuentes determinemos que una cuestión no se debería comunicar en nuestro informe porque cabe razonablemente esperar que las consecuencias adversas de hacerlo superarían los beneficios de interés público de la misma.
